THESE TERMS and CONDITIONS are in effect as of and from the 24thth day of June, 2013.

BETWEEN:

FLIGHTNETWORK®, being the on-line travel vendor operated by 1466041 Ontario Limited, operating as FlightNetwork®.com, a corporation incorporated under the laws of Ontario

(hereinafter called “FlightNetwork®”)

OF THE FIRST PART

- and -

EACH MY FLIGHTNETWORK® ACCOUNT HOLDER WHO PARTICIPATES IN THE PRICE DROP PROTECTION™ PROGRAM OPERATED BY FLIGHTNETWORK®

OF THE SECOND PART

These Terms and Conditions, in addition to FlightNetwork®’s Terms and Conditions, govern the Price Drop Protection™ Program operated by FlightNetwork®.

In consideration of the use of a My FlightNetwork® Account and the benefits of participation in the Price Drop Protection™ Program, each Named Traveller and Participant agrees as follows:

ARTICLE 1
INTERPRETATION

1.1 Any capitalized terms not defined in these Terms and Conditions shall have the meanings provided in the FlightNetwork® Terms and Conditions which may be viewed at www.flightnetwork.com.  In addition to terms defined elsewhere in these Terms and Conditions, in these Terms and Conditions:

  1. “Base Price” means the price applicable before any applicable taxes by an airline, tour operator, or hotel provider.
  2. “Domestic flight” means a flight which originates from an airport in Canada and is destined to arrive at an airport in Canada;
  3. “FlightNetwork® Terms and Conditions” mean the terms and conditions of use of the www.flightnetwork.com website and the purchase of goods and services through that website as those terms and conditions are posted on the website and as they may be amended from time to time;
  4. "Holder" means a Named Traveller or Participant to whom Price Drop Protection™ Dollars are credited;
  5. "Hotel" means an establishment that is booked through FlightNetwork®'s hotel website that provides lodging or accommodations;
  6. “International flight” means a flight that originates from an airport:
    1. in Canada and is destined to arrive at an airport outside of Canada or the United States;
    2. in the United States and is destined to arrive at an airport outside of Canada or the United States; or
    3. outside of Canada or the United States and is destined to arrive at an airport outside of Canada or the United States;
  7. “My FlightNetwork® Account” means the particular on-line FlightNetwork® account associated with a Participant through which that Participant books and pays for products and services sold by FlightNetwork®;
  8. “Named Traveller” means a Traveller, other than the Participant, for whom a Participant books a flight, hotel, vacation package or flight & hotel who selects a Price Drop and earns Price Drop Protection™ Dollars;
  9. "Offline" refers to services provided by the FlightNetwork® Call Center and not by use of the online process provided at www.flightnetwork.com;
  10. "Participant" means an individual who has a My FlightNetwork® Account with FlightNetwork® and who participates in the Price Drop Protection™ Program;
  11. “Price Drop” means:
    1. the amount, in dollars, by which the price at which a PDP eligible flight, hotel, vacation package or flight & hotel offered for sale by FlightNetwork®, decreases from the price for the identical flight, hotel, vacation package or Flight & Hotel which a Participant purchased from FlightNetwork® and for which full payment has been made; and
    2. which decrease in price is selected by the Participant in the manner outlined in these Terms and Conditions in order to obtain Price Drop Protection™ Dollars to be credited to the Participant and / or Named Travellers, as the case may be;
  12. "Price Drop Protection™ Dollars" or "Dollars" mean the credit with FlightNetwork® which is obtained by selecting a Price Drop in the manner outlined in these Terms and Conditions;
    1. all amounts earned and redeemed in regards to Price Drop Protection™ dollars will be awarded in Canadian Dollars, based on current effective exchange rates
  13. “Price Drop Protection™ Program” or “PDP” means the price drop protection™ program operated by FlightNetwork® which is described in and governed by these Terms and Conditions;
  14. “Terms and Conditions”, “these Terms and Conditions” and similar phrases means these Terms and Conditions which govern the operation of the PDP; and
  15. “Tour Operator” means one of the following suppliers: Sunwing Vacations, Sunquest Vacations, Transat Holidays, Noli Tours, Signature Vacations, WestJet Vacations, Hola Sun, Caribe Sol, Tours Mont-Royal and Air Canada Vacations.
  16. “Trans-border flight” means a flight that originates from an airport:
    1. in Canada and is destined to arrive at an airport in the United States; or
    2. in the United States and is destined to arrive at an airport in Canada.
  17. “Vacation Package” or “Vacation” means a product that is booked through FlightNetwork®'s vacation Website where the price includes one or more of the following lodging, flights, entertainment, recreational activities, gratuities, some or all drinks and meals, or transportation provided by one of the following suppliers: Sunwing Vacations, Sunquest Vacations, Transat Holidays, Noli Tours, Signature Vacations, WestJet Vacations, Hola Sun, Caribe Sol, Tours Mont-Royal and Air Canada Vacations.
  18. “Vacation Price” includes adult base price, taxes and any additional options selected by the passenger at the time of booking, less any children total pricing.
  19. “Total Base Price” means the total price applicable before any applicable taxes by an airline, tour operator, or hotel provider.
  20. “Flight & Hotel Booking” means a product that is booked through FlightNetwork® Website where the price includes lodging and flights;

1.2 Additional Rules of Interpretation.  Gender and Number.  In these Terms and Conditions, unless the context requires otherwise, words in one gender include all genders and words in the singular include the plural and vice versa.  Headings.  The inclusion in these Terms and Conditions of headings of articles and sections are for convenience of reference only and are not intended to be full or precise descriptions of the text to which they refer.  Section References.  Unless the context requires otherwise, references in these Terms and Conditions to sections, schedules or exhibits are to sections, schedules or exhibits of these Terms and Conditions.  Words of Inclusion.  Wherever the words “include”, “includes” or “including” are used in these Terms and Conditions, they shall be deemed to be followed by the words “without limitation” and the words following “include”, “includes” or “including” shall not be considered to set forth an exhaustive list.  References to these Terms and Conditions.  The words “hereof”, “herein”, “hereto”, “hereunder”, “hereby” and similar expressions shall be construed as referring to these Terms and Conditions in their entirety and not to any particular section or portion of them.  Statute References.  Unless otherwise indicated, all references in these Terms and Conditions to any statute include the regulations thereunder, in each case as amended, re-enacted, consolidated or replaced from time to time and in the case of any such amendment, re-enactment, consolidation or replacement, reference herein to a particular provision shall be read as referring to such amended, re-enacted, consolidated or replaced provision and also include, unless the context otherwise requires, all applicable guidelines, bulletins or policies made in connection therewith and which are legally binding.  Document References.  All references herein to any agreement (including these Terms and Conditions), document or instrument mean such agreement, document or instrument as amended, supplemented, modified, varied, restated or replaced from time to time in accordance with the terms thereof and, unless otherwise specified therein, includes all schedules and exhibits attached thereto.

1.3 Paramountcy of these Terms and Conditions

These Terms and Conditions shall control the PDP in the event of any conflict between these Terms and Conditions and the FlightNetwork® Terms and Conditions.


ARTICLE 2
PRICE DROP PROTECTION™ PROGRAM

2.1 How it Works

The Price Drop Protection™ Program allows Participants and Named Travellers to obtain Price Drop Protection™ Dollars from FlightNetwork® if the base price of a purchased PDP eligible flight, the base price of a purchased PDP eligible hotel, the total adult vacation price or the base price of a purchased PDP eligible flight & hotel drops after it has been purchased. Upon the establishment of a My FlightNetwork® Account and the purchase of a PDP eligible flight, hotel, vacation package or flight & hotel booking Participants and Named Travellers may participate in the PDP, all in accordance with and subject to these Terms and Conditions.

2.2 PDP Conditions

General

  1. A Participant must hold, and be signed into, a valid My FlightNetwork® Account at the time of booking for any flight, hotel, vacation package or flight & hotel booking purchased to become eligible for the Price Drop Protection™ Program;
  2. A Participant must be signed in to the Participant's My FlightNetwork® Account at the time of applying any available Price Drop Protection™ Dollars to a booking;
  3. In order for Price Drop Protection™ Dollars to be earned and posted in a My FlightNetwork® Account, an active profile must exist for the Participant and contain each Named Traveller on the original booking;
  4. The Price Drop Protection™ Program applies to bookings made both online at www.flightnetwork.com and Offline through the FlightNetwork® Call Center;
  5. The Price Drop Protection™ Plan applies only to new, confirmed bookings which are made following the date on which these Terms and Conditions come into effect;
  6. A Participant may check the FlightNetwork® website to determine whether there are reductions to the total base price for purchased flights, the total base price for purchased hotels, the total price for vacation packages or to the total base price for purchased flight & hotel as frequently as the Participant wishes, but the Participant can select a Price Drop only once;
  7. Price Drop Protection™ Dollars can be applied toward the purchase of new, future flights, future hotel bookings, future vacation packages, future flight & hotel or insurance; provided, however, that Price Drop Protection™ Dollars can only be applied toward the base booking prices for such flights, hotels, vacation packages, flight & hotel or insurance. For clarity, Price Drop Protection™ Dollars cannot be applied to the cost of flights, hotels, vacation packages, flight & hotel or insurance which were purchased prior to the time when Price Drop Protection™ Dollars are obtained, nor may Price Drop Protection™ Dollars be applied as a discount to purchases made at the time the Price Drop Protection™ Dollars are obtained;
  8. Infants are considered Named Travellers and Price Drop Protection™ Dollars may be credited to them provided that a base fare has been paid for their tickets for flight bookings;
  9. Price Drop Protection™ Dollars cannot be applied towards taxes, fees or surcharges;
  10. The Price Drop Protection™ Program is available to bookings with multiple Named Travellers, subject to these Terms and Conditions;
  11. Only the Participant who makes the original booking for a Named Traveller or Named Travellers may select a Price Drop for that Named Traveller or those Named Travellers;
  12. Except as provided in these Terms and Conditions, Price Drop Protection™ Dollars cannot be split, transferred, shared or pooled between My FlightNetwork® Account holders and travellers whose tickets were purchased by a Participant. If a Named Traveller has or establishes a separate My FlightNetwork® Account, Price Drop Protection™ Dollars accumulated on the basis of flights, hotels, vacation packages or flight & hotel purchased for that Named Traveller may be transferred to that Named Traveller's My FlightNetwork® Account upon the direction in writing made to FlightNetwork® by the Participant who booked the flight, hotel, hotel, vacation package or flight & hotel and selected the Price Drop for the Named Traveller. In such case, the Price Drop Protection™ Dollars will continue to be credited to the Holder, but in the Holder's own My FlightNetwork® Account and not in the original My FlightNetwork® Account to which the Dollars were originally posted;
  13. Only Price Drop Protection™ Dollars which a Participant obtained on the basis of the Participant's own flights, hotels, vacation packages, or flight & hotel itineraries booked through FlightNetwork® may be applied by the Participant towards the purchase of flights, hotels, vacation packages flight & hotel or insurance for the Participant. A Participant cannot apply Price Drop Protection™ Dollars which have been obtained on the basis of Price Drops which have been selected on behalf of a Named Traveller for whom the Participant purchases a flight;
  14. Price Drop Protection™ Dollars cannot be applied in conjunction with Price Match Guarantee and/or FlightNetwork® coupon codes when redeeming Price Drop Protection™ Dollars;
  15. In order to apply Price Drop Protection™ Dollars towards the purchase price of a flight, hotel, vacation package, flight & hotel or insurance, the flight booking, hotel booking, vacation booking, flight & hotel booking or insurance purchase must be confirmed and paid in full. Bookings held on option, or involuntary schedule cancellations performed by the airline are not eligible for the Price Drop Protection™ Program;
  16. There is no cost to open a My FlightNetwork® Account or to participate in the Price Drop Protection™ Program. Price Drop Protection™ Dollars have no monetary value but each Dollar constitutes a credit in favour of the Holder in the amount of one dollar of Canadian currency which may be applied exclusively towards the purchase price of a flight, hotel, vacation package, flight & hotel or insurance purchased by or on behalf of the Holder through FlightNetwork®'s on-line booking service, all in accordance with and subject to these Terms and Conditions;
  17. The first Price Drop Protection™ Dollars credited to a Holder shall be the first Dollars used when the Holder's Dollars are applied towards the purchase price of a flight, hotel, vacation package, flight & hotel or insurance purchased through FlightNetwork®'s on-line booking service. Any Price Drop Protection™ Dollars which are not applied towards the purchase price of a flight, hotel, vacation package, flight & hotel or insurance within one year (365 days) after the Dollars are credited to the Holder expire and cannot be applied to the purchase price of a flight, hotel, vacation package, flight & hotel or insurance.

Flights

  1. The Price Drop Protection™ Program is available for Economy class flights only. Business and First class flights are not eligible;
  2. The Price Drop Protection™ Program is available on one-way, round-trip and multi-city itineraries;
  3. The Price Drop Protection™ Dollars which may be obtained by selecting a Price Drop for any flight is unlimited. For example, if the base purchase price of a flight was $500 and the base price drops to $300, a Participant can select the Price Drop in the manner outlined in these Terms and Conditions and obtain $200 Price Drop Protection™ Dollars which can be applied towards the purchase price of future flights, vacation packages, flight & hotel or insurance purchased through FlightNetwork®'s on-line booking service;
  4. The process for selecting a Price Drop for a Flight and for applying Price Drop Protection™ Dollars towards purchases can only be done by a Participant online through the Participant's My FlightNetwork® Account;
  5. The amount of a Price Drop on a flight is based on the decrease in the base fare only. A decrease in any tax, fee or surcharge applicable to any flight sold through FlightNetwork® is not a Price Drop and Price Drop Protection™ Dollars cannot be obtained on account of any decrease in taxes, fees or surcharges;
  6. If a flight booking is changed, FlightNetwork® will review and validate any Price Drops which have been selected on the basis of the new itinerary.
  7. For flight bookings, Price Drop checks can only be performed prior to the departure time of the outbound flight. Once a Participant's outbound flight has departed, a Participant is no longer eligible for Price Drop Protection™;
  8. For Flights, Price Drop Protection™ Dollars are awarded to each Named Travellers associated to the original booking as long as a base fare was applicable;

Hotels

  1. Price Drop Protection™ is available on all hotels, bookable online on FlightNetwork®.com;
  2. The Price Drop Protection™ Dollars which may be obtained by selecting a Price Drop on Hotels is unlimited. For example, if the total base price (before taxes) was $500 and the total base price drops to $400, a Participant can select the Price Drop in the manner outlined in these Terms and Conditions and obtain $100 Price Drop Protection™ Dollars which can be applied towards the purchase price of future flights, hotels, vacation packages, flight & hotel or insurance purchased through FlightNetwork®'s on-line booking service;
  3. Price Drop Protection™ is available on new Hotel bookings, purchased on or after the 8th day of December, 2011, bookable on FlightNetwork®.com. All destinations, hotels, durations, and occupancies.
  4. The process for selecting a Price Drop for a Hotel and for applying Price Drop Protection™ Dollars towards purchases can only be done by a Participant online through the Participant's My FlightNetwork® Account;
  5. The amount of a Price Drop on a hotel is based on the decrease in the total base price only. A decrease in any tax, fee or surcharge applicable to any hotel sold through FlightNetwork® is not a Price Drop and Price Drop Protection™ Dollars cannot be obtained on account of any decrease in taxes, fees or surcharges;
  6. If a hotel booking is changed, FlightNetwork® will review and validate any Price Drops which have been selected on the basis of the new itinerary;
  7. For hotel bookings, Price Drop checks can only be performed prior to the check-in date. Once a Participant's check-in date has arrived, a Participant is no longer eligible for Price Drop Protection™;
  8. For Hotels, Price Drop Protection™ Dollars are awarded to the First Named Traveller and not the Primary My FlightNetwork® Account holder;
  9. Price Drop Protection™ Dollars are only applicable per booking, multiple Price Drop Protection™ Dollars cannot be applied to the same reservation;

Vacation Packages

  1. Price Drop Protection™ is available on new Vacation Packages, purchased on or after the 8th day of December, 2011, bookable on FlightNetwork®.com. All destinations, hotels, durations, and occupancies and through the suppliers listed and defined in Section 1.1.q, December 2011;
  2. Price Drop Protection™ is not applicable on vacation package group rates as they are already discounted by Tour Operators;
  3. Price Drops on Vacation packages cannot be claimed within 31 days prior to departure;
  4. Price Drops on Vacation packages cannot be claimed for prices that incorporate children base fares, children taxes, or any additional options purchased at the time of booking;
  5. The Price Drop Protection™ Dollars which may be obtained by selecting a Price Drop for Vacation packages is unlimited. For example, if the total adult purchase price per person (base + taxes) was $900, and the total adult price per person drops to $650, a Participant can select the Price Drop in the manner outline in these Terms and Conditions and obtain $250 per person Price Drop Protection™ Dollars which can be applied towards the purchase price of future flights, hotels, vacation packages, flight & hotel or insurance purchased through FlightNetwork®'s online booking service;
  6. The process for selecting a Price Drop for a Vacation Package and for applying Price Drop Protection™ Dollars towards purchases can only be done by a Participant online through the Participant's My FlightNetwork® Account;
  7. The amount of a Price Drop on a vacation package is based on the decrease in the total adult fare, which includes base fare plus taxes and fees for all adult passengers;
  8. If a vacation booking is changed, FlightNetwork® will review and validate any Price Drops which have been selected on the basis of the new itinerary
  9. For vacation bookings, Price Drop checks can only be performed 31 days prior to the departure time of the outbound flight, after which, a Participant is no longer eligible for Price Drop Protection™;

Flight & Hotel

  1. The Price Drop Protection™ Program is available for Flight & Hotel with Economy class flights only. Flight & Hotel Bookings including Business and First class flights are not eligible;
  2. The Price Drop Protection™ Program is available on all Flight & Hotel bookings with one-way, and round-trip itineraries;
  3. Price Drop Protection™ is available on new Flight& Hotel bookings, purchased on or after the 5th day of November, 2012, bookable on www.FlightNetwork®.com.
  4. The Price Drop Protection™ Dollars which may be obtained by selecting a Price Drop for a Flight & Hotel Booking is unlimited. For example, if the total base price of an Flight & Hotel booking (with four Named Travellers) is $1500 and the total base price drops to $700, a Participant can select the Price Drop in the manner outlined in these Terms and Conditions and obtain $800 Price Drop Protection™ Dollars. These Price Drop Protection™ Dollars are then divided up evenly among the four Named Travellers, providing each Passenger with $200 Price Drop Protection™ Dollars. These Price Drop Protection™ Dollars can be applied towards the purchase price of future flights, vacation packages, hotels, flight & hotel bookings, or insurance purchased through FlightNetwork®'s on-line booking service;
  5. The process for selecting a Price Drop for a Flight & Hotel booking and for applying Price Drop Protection™ Dollars towards purchases can only be done by a Participant online through the Participant's My FlightNetwork® Account;
  6. The amount of a Price Drop on a Flight & Hotel Booking is based on the decrease in the total base price only. A decrease in any tax, fee or surcharge applicable to any Flight & Hotel Booking sold through FlightNetwork® is not a Price Drop and Price Drop Protection™ Dollars cannot be obtained on account of any decrease in taxes, fees or surcharges;
  7. If a Flight & Hotel booking is changed, FlightNetwork® will review and validate any Price Drops which have been selected on the basis of the new itinerary.
  8. For Flight & Hotel bookings, Price Drop checks can only be performed prior to the departure time of the outbound flight. Once a Participant's outbound flight has departed, a Participant is no longer eligible for Price Drop Protection™;
  9. For Flight & Hotel bookings, the total Price Drop Protection™ Dollars are divided up evenly among each Named Traveller associated to the original booking as long as a base fare was applicable;
  10. If any portion of a Flight & Hotel booking is cancelled, the Participant can no longer claim Price Drop Protection™ Dollars on that booking. Both flight and hotel portions of the Flight & Hotel booking need to be confirmed in order to be eligible for Price Drop Protection™.

2.3 What Qualifies as a Price Drop?

Flights

Based on the original flight booking, a Price Drop occurs only when an identical itinerary is found, the exact number of seats purchased is available, and the price at which the flight is being sold at www.flightnetwork.com is less than the Participant originally paid before taxes. The airline, flight numbers, flight times, departure and destination cities all must be identical to the original flight purchased. If a Participant finds a better price on www.flightnetwork.com, the Participant can select the Price Drop and obtain Price Drop Protection™ Dollars which are posted to the Participant's My FlightNetwork® Account to the credit of the Holder or Holders of those Dollars.

Hotels

Based on the original hotel booking, a Price Drop occurs only when an identical itinerary is found, the exact number of rooms purchased is available, and the total base price at which the hotel room is being sold at www.flightnetwork.com is less than the Participant's original total base price paid before taxes. The hotel, supplier, room category, number of days, check-in and check-out dates all must be identical to the original hotel booking purchased. If a Participant finds a better price on www.flightnetwork.com, the Participant can select the Price Drop and obtain Price Drop Protection™ Dollars which are posted to the Participant's My FlightNetwork® Account to the credit of the First Named Traveller on the Original Booking.

Vacation Packages

Based on the original vacation package booking, a Price Drop occurs only when an identical vacation package is found, the exact number of seats purchased is available, and the adult price at which the vacation package is being sold at www.flightnetwork.com is less than the Participant originally paid. The departure dates, flight times, airline carrier, flight number, tour operator supplier, resort/hotel and room type, meal plan type and applicable restrictions and/or conditions all must be identical to the original vacation package purchased. If a Participant finds a better price on www.flightnetwork.com, the Participant can select the Price Drop and obtain Price Drop Protection™ Dollars which are posted to the Participant's My FlightNetwork® Account to the credit of the Holder or Holders of those Dollars. Price Drops on Vacation packages cannot be earned within 31 days prior to departure.

Flight & Hotel

Based on the current flight & hotel booking, a Price Drop occurs only when an identical itinerary is found, the exact number of seats purchased is available, and the price at which the flight & hotel booking is being sold at www.flightnetwork.com is less than the Participant originally paid before taxes. The departure dates, flight times, airline carrier, flight number, tour operator supplier, resort/hotel and room type, and applicable restrictions and/or conditions all must be identical to the original vacation package purchased. If a Participant finds a better price on www.flightnetwork.com, the Participant can select the Price Drop and obtain Price Drop Protection™ Dollars which are posted to the Participant's My FlightNetwork® Account to the credit of the Holder or Holders of those Dollars.

2.4 How to Select a Price Drop

Flights

A Participant may select a Price Drop for a flight through the online process exclusively. The Price Drop Protection™ Program operates exclusively through the online process provided at www.flightnetwork.com. A Participant checks for decreases in base prices by clicking the "check for price drop savings" button. The pop-up message indicates whether the original purchase price has dropped by any amount for the Participant or any one of the Named Travellers on whose behalf the Participant purchased a flight. If the price has dropped, the Participant clicks the "get me this deal" button to select the Price Drop. Participants can check as many times as they like, but a Price Drop can be selected only once. Assistance in earning Price Drops and redeeming Price Drop Protection™ Dollars Offline is not permitted. If the base price of a Participant's flight hasn't changed or has increased, the Participant can check for a decrease in price again at a later time.

Hotels

A Participant may select a Price Drop for a hotel through the online process exclusively. The Price Drop Protection™ Program operates exclusively through the online process provided at www.flightnetwork.com. A Participant checks for decreases in total base price by clicking the "check for price drop savings" button. The pop-up message indicates whether the original purchase price has dropped by any amount for the Participant or any one of the Named Travellers on whose behalf the Participant purchased a hotel room. If the price has dropped, the Participant clicks the "get me this deal" button to select the Price Drop. Participants can check as many times as they like, but a Price Drop can be selected only once. Price Drop Protection™ Dollars are credited to the First Named Traveller on the Original Hotel Booking. Assistance in earning Price Drops and redeeming Price Drop Protection™ Dollars Offline is not permitted. If the total base price of a Participant's hotel hasn't changed or has increased, the Participant can check for a decrease in price again at a later time.

Vacation Packages

A Participant may select a Price Drop for a vacation package through the online process exclusively. The Price Drop Protection™ Program operates exclusively through the online process provided at www.flightnetwork.com. A Participant checks for decreases in the total adult prices by clicking the "check for price drops" button. The pop-up message indicates whether the original purchase price has dropped by any amount for the Participant or any one of the Named Travellers on whose behalf the Participant purchased a vacation package. If the total adult price has dropped, the Participant clicks the "get me this deal" button to select the Price Drop. Participants can check as many times as they like, but a Price Drop can be selected only once. Assistance in earning Price Drops and redeeming Price Drop Protection™ Dollars Offline is not permitted. If the total adult price of a Participant's vacation package hasn't changed or has increased, the Participant can check for a decreased in price at a later time. Price Drops on Vacation packages cannot be earned within 31 days prior to departure.

Flight & Hotel

A Participant may select a Price Drop for a Flight & Hotel booking through the online process exclusively. The Price Drop Protection™ Program operates exclusively through the online process provided at www.flightnetwork.com. A Participant checks for decreases in the total base price by clicking the "check for price drop savings" button. The pop-up message indicates whether the original purchase price has dropped by any amount for the Participant or any one of the Named Travellers on whose behalf the Participant purchased a Flight & Hotel booking. If the price has dropped, the Participant clicks the "get me this deal" button to select the Price Drop. Participants can check as many times as they like, but a Price Drop can be selected only once. Assistance in earning Price Drops and redeeming Price Drop Protection™ Dollars Offline is not permitted. If the total base price of a Participant's Flight & Hotel booking hasn't changed or has increased, the Participant can check for a decrease in price again at a later time.

2.5 What Happens when Price Drop Protection™ Dollars are Obtained

Once a Price Drop is selected, the Participant will receive an email notification with all of the pertinent details. Price Drop Protection™ Dollars earned on flights, hotels, vacation packages or flight & hotel will be posted to the Participant's My FlightNetwork® Account immediately as well as to the My FlightNetwork® Accounts of any Named Travellers on whose behalf the Price Drop was selected. If a Named Traveller does not have a My FlightNetwork® Account, Price Drop Protection™ Dollars obtained on behalf of the Named Traveller shall be posted to the credit of the Named Traveller in the Participant's My FlightNetwork® Account unless and until the Named Traveller's Price Drop Protection™ Dollars are transferred to a separate My FlightNetwork® Account or applied towards the purchase price of a flight, hotel, vacation package or insurance for the Named Traveller.

2.6 What Happens when Price Drop Protection™ Dollars are Applied?

Once Price Drop Protection™ Dollars are applied towards the purchase price of a flight, hotel, vacation package, flight & hotel or insurance, the Participant will receive a confirmation by email that is generated when their flight booking, hotel booking, vacation package, flight & hotel booking or insurance policy has been confirmed. Price Drop Protection™ Dollars which are applied towards the purchase price of a flight, hotel, vacation package, flight & hotel or insurance will be immediately deducted from the applicable passengers credited Price Drop Protection™ Dollars and, if applicable, from the Price Drop Protection™ Dollars credited to Named Travellers whose Price Drop Protection™ Dollars are held in the Participant's My FlightNetwork® Account. The full price of any new flight, hotel, vacation package, flight & hotel or insurance booking will be charged to the credit card provided at the time of booking. A refund cheque, issued in CAD funds, will then be sent to the credit card holders billing address provided at the time of booking in the name of the credit card holder. Price Drop Protection™ Dollars applied towards the purchase price of a flight, hotel, vacation package, flight & hotel or insurance will only be accepted online and are not applicable to taxes.

2.7 Coupon Codes

FlightNetwork® Coupon codes and Price Match Guarantees cannot be applied in conjunction with the application of Price Drop Protection™ Dollars towards the purchase price of a new flight, hotel, vacation package, flight & hotel or insurance booking.

Any promotional code applied on an airline website, which results in a lower fare, will not qualify for FlightNetwork®’s Price Drop Protection™. The fare must drop on www.flightnetwork.com for a claim to be eligible and considered for Price Drop Protection™.

2.8 Cancelled bookings

In most cases, flight tickets are non-refundable and non-changeable, however, some airlines will allow cancellations for a fee.  These fees can range from $100 - $500.  Depending on the time that the Participant's booking is cancelled, Vacation Packages may be 100% non-refundable, partially refundable, or fully refundable. Based on hotel policies during the booking process, some hotels may be non-refundable or partially refundable. There is also a FlightNetwork® cancellation fee that will apply to all cancellations.

If a booking in respect of which Price Drop Protection™ Dollars were obtained and/or applied is cancelled, FlightNetwork® will reverse the original transaction for the Participant and each Named Traveller whose booking is cancelled. Any such reversal will be identified as an "Account Adjustment" in the Participant's My FlightNetwork® Account and will also be reflected in their monthly balance email.

If a flight, hotel, vacation package or flight & hotel is voluntarily or involuntarily cancelled prior to selecting a Price Drop on the original booking, a Price Drop cannot be selected in respect of that flight, hotel, vacation package or flight & hotel.

If any portion of a Flight & Hotel booking is cancelled, the Participant can no longer claim Price Drop Protection™ Dollars on that booking. Both flight and hotel portions of the Flight & Hotel booking need to be confirmed in order to be eligible for Price Drop Protection™.

A Participant can cancel a booking where Price Drop Protection™ Dollars have been obtained and / or applied, however, this will result in the reversal of the original Price Drop Protection™ Dollars obtained or applied, as the case may be.

2.9 Changed bookings

Flights

If a flight is voluntarily or involuntarily changed prior to the selection of a Price Drop in respect of the original booking, FlightNetwork® will permit a Price Drop to be selected solely on the basis of the updated booking.

A Participant can change a booking where Price Drop Protection™ Dollars have been obtained and/or applied, but the Price Drop Protection™ Dollar balance will be adjusted to cancel any Price Drop which had been selected by the Participant both on the Participant's own behalf and on behalf of all Named Travellers whose booking is changed.

Hotels

If a hotel is voluntarily or involuntarily changed prior to the selection of a Price Drop in respect of the original booking, FlightNetwork® will permit a Price Drop to be selected solely on the basis of the updated booking.

A Participant can change a booking where Price Drop Protection™ Dollars have been obtained and/or applied, but the Price Drop Protection™ Dollar balance will be adjusted to cancel any Price Drop which had been selected by the Participant both on the Participant's own behalf and on behalf of all Named Travellers whose booking is changed.

Vacations

Any Price Drop Protection™ Dollars earned will not be affected when a Vacation booking has been changed. If a Participant has not yet earned Price Drop Protection™ Dollars and has changed their original booking, FlightNetwork® will permit a Price Drop to be selected solely on the basis of the updated booking. If the Participant feels they qualify for Price Drop Protection™ Dollars on their vacation booking, they must contact FlightNetwork® directly to verify that the Participant does qualify for Price Drop Protection™ Dollars.

Flight & Hotel

If a Flight & Hotel booking is voluntarily or involuntarily changed prior to the selection of a Price Drop in respect of the original booking, FlightNetwork® will permit a Price Drop to be selected solely on the basis of the updated booking. A Participant can change a booking where Price Drop Protection™ Dollars have been obtained and/or applied.

2.10 Transaction Refunds/Adjustments

There will be cases where original transactions need to be reversed.  These instances will be reflected as an “Account Adjustment” under the Transactions tab in Participants’ My FlightNetwork® Accounts and also in monthly balance emails.  Examples of account adjustments are as follows:

  1. If a Participant has earned Price Drop Protection™ Dollars which have been credited to the Participant’s My FlightNetwork® Account and the original flight, hotel, vacation package or flight & hotel is cancelled, FlightNetwork® reserves the right to access the Participant’s account and manually remove any Price Drop Protection™ Dollars earned on the basis of the cancelled booking;
  2. If a Participant has earned Price Drop Protection™ Dollars which have been credited to the Participant’s My FlightNetwork® Account, the Participant has redeemed those Dollars and the original flight, hotel, vacation package or flight & hotel is cancelled, FlightNetwork® reserves the right to access the Participant’s account and manually remove any Price Drop Protection™ Dollars earned on the basis of the cancelled flight, hotel, vacation package or flight & hotel. If Price Drop Protection™ Dollars are not available to be removed from a Participant’s My FlightNetwork® Account, a charge to the original purchasing credit card may be made on the basis that each Price Drop Protection™ Dollar has a value of one dollar;
  3. If a Participant has obtained Price Drop Protection™ Dollars which have been posted to the Participant's My FlightNetwork® Account, the Participant has applied those Dollars and cancels the flight, hotel, vacation package, flight & hotel or insurance booking to which the Price Drop Protection™ Dollars were applied, FlightNetwork® reserves the right to access the Participant's account and manually add any unused Price Drop Protection™ Dollars.

2.11 Fraudulent Use

FlightNetwork® reserves the right to terminate a Participant’s My FlightNetwork® Account indefinitely in the case of misuse or fraudulent activity.  If a fraudulent transaction has been performed, Price Drop Protection™ Dollars will be deducted immediately and the account closed.  Any bookings in respect of which fraudulent transactions have been performed will be cancelled immediately without notification to the Participant.

2.12 Income reporting

Each Participant and Named Traveller who obtains / applies Price Drop Protection™ Dollars is responsible to report their own income earned from all sources to the applicable government bodies. FlightNetwork® will assume no responsibility for personal assessments associated with participation in the Price Drop Protection™ Program.

2.13 Technical Issues

FlightNetwork® reserves the right to correct any technical errors as they relate to the My FlightNetwork® Account or Price Drop Protection™ Program. Price Drops selected and Price Drop Protection™ Dollars obtained as a result of malfunctioning or defective technology or software will not be honoured.

2.14 Schedule Changes/Manual Database Updates

In the event of an involuntary or voluntary schedule change, FlightNetwork® will manually initiate Price Drops based on the latest and most up-to-date flight, hotel, vacation package or flight & hotel information. FlightNetwork® reserves the right to correct any errors or omissions made as a result of this manual process.

2.15 Voluntarily changed flights resulting in an Airline credit

In the event of a voluntary schedule change, if a Participant changes his or her itinerary using a new flight that is priced lower than the original flight purchased, FlightNetwork® will perform Price Drops on the new itinerary as long as the changes are handled through the FlightNetwork® Call Center. A Participant will not obtain Price Drop Protection™ Dollars based on the original flight booking or if changes are made directly with the airline.

2.16 Amendments

These Terms and Conditions are subject to amendments by FlightNetwork®. FlightNetwork® reserves the right to amend these Terms and Conditions or withdraw the Price Drop Protection™ Program at any time without prior notice.

ARTICLE 3
ADHESION TO TERMS and CONDITIONS

3.1 Use of Price Drop Protection™ Program Constitutes Agreement

Participation in the Price Drop Protection™ Program by a Named Traveller or Participant constitutes the Named Traveller's or Participant's agreement to abide by and to be bound by these Terms and Conditions.
